How do I close down a Corp?

I am part owner in a small (4 people) Corporation. We recently decided to end business, but I am unsure how to proceed. Does a Corp. have to file bankruptcy, or can it act as a person and just forget about it's outstanding debt? Any help on what to do would be helpful.
