Casino Finance Contract

What is the name of your state (only U.S. law)?,California

I need a simple contract written between parties 1 (Corp) and myself partiss 2 (Individual). Parties 1 and 2 are in the process of putting finance together for an Indian tribe to build a new casino. If said tribe accepts said funds in contract, I need a contract between parties 1 and 2. I would like this contract to state that parties 1 and 2 will be equal partners, and if tribe accepts loan in contract party 1 will pay party 2 (1%) of total loan value upon signing of loan by tribe as a signing bonus. What is the name of your state (only U.S. law)?

This is not a "simple contract" issue. In fact, you're getting into some pretty complex areas dealing with Indian gaming, finance, and partnerships. This is something you need to find an expert corporate attorney to help you with. He will probably not be the cheapest. Trying to work this deal on a shoestring will almost certainly cost you far more in the future than you would save now by getting a cheap-o, poorly drafted contract.

ok...so HG's advice gets tweaked a bit.

Hire a complex attorney to draft a complex contract.

At the end of the day, this is much bigger for an internet forum especially when the advice is free.
