| Stock vested but they won't send certificate I worked for a private company for a period of time and part of my compensation included a number of shares of stock (not options). My stock vested while I was still employed, but have now left the company. They are refusing to send me a stock certificate until I sign a 'subscription agreement' in which I must state that I'm a qualified investor with at least $N in the bank etc. The problem is, I don't fit the definition of a qualified investor. They sent me a K1 the first year I had vested stock, and have not sent one since. The stock is essentially worthless right now, but I'd like to get it anyway in case they IPO and it has real value.
Do I have to sign the agreement to get the vested stock? If I don't have a certificate, can I use the signed employment agreement to claim ownership of the stock in the future? |
