What may be an illegal conflict of interest in one situation may simply be an efficient manner of doing business in another situation. Your post has, in fact, NOT given enough information to form a valid opinion.

there is not necessarily anything wrong with a conflict of interest if it is dealt with properly. Nothing proposed would be illegal. Whether all parties wish to engage into such a contract is up to each of them.
