| rmj What is the name of your state (only U.S. law)? I am in California and started an S corp with another pharmacist to provide consulting services to clinics and surgery centers. We are both still employed at clinics and do not agree on the best way to leave our current positions. I want to contract independently of our company with my current employer for the pharmacy services. She feels that this would be a conflict of interest to our new company and that the contract should be through the new company. I don't feel the $ from the contract should be split with her, since I do all the work and don't feel like it is a conflict of interest for our new company. It may be a conflict of loyalty, but not a conflict of interest. Am I wrong? If I contract with my current employer instead of working as an employee, would that present a conflict of interest to my newly formed corporation? By the way, the corp. has no employees, 2 officers (she and I) and 1 additional board member. Very small operation.
