What is the name of your state (only U.S. law)? NY

A US corporation founded and active an NY has a Swiss shareholder who wants to sell this share #1 of 100 shares (50%) to a German GmbH that I am involved with.

Is a notary necessary for this? The papers are already with an escrow company, is turning over the papers all that is needed?

Does the US director/president of the company have to be notified? Does he need to agree?

Lets forget the international stuff, I can clear this up. How is it to transfer the shares in the US?
