Lawsuit against a non-profit org

What is the name of your state (only U.S. law)? Incorporated in Maine

The organization is a non-profit incorporated in Maine. A former member of the Board of Directors is suing to be reinstated after he was removed for inactivity(which is written in our bylaws). He lives in AZ and has hired an AZ lawyer.

Does his case have any merit?

I'm a current board member, btw.
