Rainbow Mountain is a non profit corp. that was set up in 1986 to protect 97 acres of land that my parents bought to start a spirital retreat and wildlife sanctuary. I have lived here and caretaken the mountain for 23 years now with my parents untill they passed away . Mom died 2 years ago, and after she died my elder sister and brother convinced or should I say coherst my father into disolving the corp. to deed the land back to himself.We all my other siblings 6 of us where stated as members on the corp. yet we didnt all agree to dissolve but my father did it anyway . We the opposing members had to file suit against my dad, and then he passed away in april and now we are fighting to save Rainbow Mountain in court from my sister and older brother.
We need some delaware case law to help prove our case that includes some proof that COURSE OF DEALINGS on electing directers and members will hold up in court and also cases that show how course of dealings have allowed these members to be part of a corp.
