What is the name of your state? Massachusetts

What is the difference between a Service Agreement and Contract?

And, if I now have a service agreement in place that I am happy with and the vendor i.e., service provider wants to change it along with the wording to CONTRACT should I accept it? Given my understanding that a contract was a agrrement between "Compentent Parties, for Consideration and in a Mutual Assent"?

A service agreement is a contract. In fact, agreement and contract are the same.
