When I originally entered into a franchise agreement with Kid to Kid, I had a partner. He told me that I had to go into a partnership with him in order to open a Kid to Kid in Tarrant County Texas. I signed a franchise agreement provided by Kid to Kid Corporate with him as a partnership. Because of poor management by him, we dissolved the corporation and the partnership in April 1999. I incorporated again and the franchise sent me a new franchise agreement to sign. I never signed it.
However, I did continue doing business as Kid to Kid and paying royalties when I could. I was very unhappy with the support of lack of it.
Today, I closed on the sale of my Kid to Kid to another individual and Kid to Kid Franchise, via the escrow company, took out all of their back royalties plus late fees.
Do I have any legal ground to stand on to try to get my royalties back since I never signed the 2nd franchise agreement? If so, I may consider taking them to court.
