What is the name of your state? Jakarta

I had an order to make a steel chair from other company.
But somehow, he refuse my price offer, which is too high for them.
They give me an impossible price to deal with.
NOw, I am thinking to produce it, with some modifications of specification, and I will sell it under my brand name, not theirs.
I think I am not breaking any deal (since there was no deal whatsoever) or law against patent and industrial design law (since I sell it with my own brand name)? I don't think they had patented their chair product.
Is it okay for me to go on with my plan?
Or will I face a law suit from them?
Can they sue me?
