Thanks in advance. We're artists and poor!

My wife is sole administrator of a non-profit arts organization in Minnesota which does not pay unemployment insurance tax. After seven years and 175% budget growth, they are restructuring. She has been offered two general options 1) submitting resignation or 2) staying until July 1st as lame duck - being "positive" and receiving "some" severance. There is an implied 3rd option: don't be "positive" and be fired immediately. Nothing in print has been offered.

Does the organization not participating in the Unemployment Insurance Tax affect her unemployment eligibility?

Should discussions for her staying begin at the dollar amount of Unemployment benefits (assuming she would then waive her rights to sue)?

Should there be any discussion of her job performance (generally exceptional -- though I'm biased, with only 3 reviews in seven years, no personnel file, no prior warnings, consistent positive feedback - cards and such) or is this a moot point?
