Originally Filled in NY now in CA

My husband signed a contract in April 2000 regarding the Green card process stating that he would reimburse all legal expenses should he voluntarily resign within one year of receipt. This is now over 4 years into this and we are just filing the I485 now. My question is can they keep this document if they failed to file (slacked off) for 1 year and the company has merged. We signed this with Company A now it is called Company B and the prior is now non-existant. Any Answers you can give me would be helpful as the working conditions have become unacceptable since the merger and my husband is considering leaving this employment and the Green card behind.
