An attorney is General Counsel to a non-profit organization. He is a Board Member on the Board of Directors as a result of bylaws. He selectively offers legal advice to Board members- choosing whether he will answer questions depending on who is asking for a legal opinion and at other times redirecting the conversation in order to not answer a legal question. He is very proactive during the meeting and effectively leads the meetings although there is a President of the Board the postion is effectively that of a figurehead. A majority of the Board has a particular agenda - the same as the General Counsel - and he controls the agenda in this way. His discussions usually are presented as if he is presenting some facts as a quasi-legal argument then he with converse with very non-factual opinionated content never clearly clarifying legal opinion from fact from his personal opinion . Challenging his process is effectively squashed by his supportive majority. Are there ethical issues present involving his use of his General Counsel position to control the organization? Voting out members is quashed as nominating committee chairperson and members are in the majority/complicit with General Counsel. Questioning the behavior of the General Counsel will result in the questioning person being run off the Board. All are volunteers. Organization is a local sports organization run for the benefit of children. thank you
