What is the name of your state (only U.S. law)? Indiana

I'm about to submit my new prototype to a major company, but they want me to agree to this statement. I have only filed a provisional application. Do I still have any rights left after signing it?

"You recognize and acknowledge that your provision to Company A of suggestions, ideas, images, sounds, enhancements, data or other material to Company A is done on a non-confidential basis without expectation for compensation or attribution of any sort. Company A, may use all or any part of such material in any manner for any reason without your consent or obligation to your account to you all your right, title and interest in and to all such suggestions, ideas or other material that you submit. Should Company A request that you sign a written assignment and be unable to obtain your signature you hereby appoint Company A as your attorney-in-fact for the purpose of assigning your rights in and to such ,material to Company A."

I would certainly be wary of signing. I recommend you have the agreement reviewed by an IP attorney in your area.
