The shares of the co-op are subject to a shareholder's agreement and that trumps the Will. And it should be no surprise to anyone that some NYC co-ops have boards that are impossible to deal with -- the stories have been chronicled in the media for years. You're almost totally powerless in most cases.

If you feel your current lawyer is no help, get another lawyer. You are not powerless in that regard!

You may want to consult with a real estate attorney to find out if your deceased parents have any ownership rights from the coop.

Who told you that you were responsible for the credit card debt and how much is it? I think you were misinformed--you can not be held responsible for someone else's debts other than your own. You need to get a second opinion from other attorneys about this. No need to pay for something you aren't responsible for.
