What is the name of your state?

i wish to know if non profit corporations are legally required to follow their articles of incorporations and board policy manuals
in respect to employment law and financial operations.

for example, if the policy requires that there be a salary schedule based on years of experience and credentials, can the board hire a non degreed or non certified person and pay them above the published salary schedule.


also, if the policy requires that all purchases over $3,000.00 one must get three bids-is that enforceable

but mainly i wish to know if the entire policy manual is binding on the board of trustees

They must follow the articles on incorporation, just as for profits must.
However, the board can change or add to those articles with proper procedure and votes.
