What is the name of your state? louisiana

i am involcved in corporation with 5 shareholders and 4 members on the board. is it wise to put the manager of the business, who is not a shareholder on the board? it seems that an employee should not be on the board? thanks

thanks, that is what i was thinking.

Sorry I am not positive it would be a conflict of interest and that person may be able to serve on the board but may have to abstain from voting on tabled items which may have relation to their employment.
