our company is considering a lawsuit against other business. we anticipate a possible counterclaim as a retaliation measure. We do not anticipate they can win it, but we want to be prepared for all possbilities before we start.

our corp has 1000 shares with only 100 issued. the remaining 900 were held by the corp in case of future desire to raise captial. on the chance a judgement was won by our opponent, can they force the sale of those held shares or take over the corporation?

*** No. However, if they get a large enough judgment against the corporation and it is not able to pay it, the creditor COULD force the corporation into bankruptcy.
