What is the name of your state?Ohio

I was a member of an LLC. The LLC stopped doing business in 2002 though the LLC is still listed as active with the state just because nobody has filed the dissolution form. Final tax return filed in 2002, there are no company assets. Received a bill for work done for the company in early 2002 - are any of the members personally responsible for this debt 2 years later?

Typically you would not be, unless you signed a contract with specifications including the personal guarantee of payment. The point of LLC organization is to protect you from this sort of thing. I would consult an attorney and see if you can attain the original contract for these "services" to make sure it does not have any specifications above and beyond the payment of the balance owed by the LLC. Perhaps let your lawyer go over the contract with you. Hope this helps. Good luck
