Does your business contract cover this in particular? See a business law attorney immediately. There are many circumstances under which a corporation can be dissolved, and why haven't you filed charges against this partner yet?

new york .. the reason why charges have not been filed is because the partner who was embezzeling the money was taking care of the books.in order to find out how much was taken we had to bring everything to an accountant to get a firm figure.the business never had an accountant. he (the partner)was doing the books and told us that he had an accountant in queens that was doing the taxes which was also a lie.the taxes were never paid.
