What is the name of your state? CA

I am negotiating with a prospective partner about the course I have written.
He wants half the copyright and I want to give him an exclusive right to market for profit.
What is the differernce? He says the half copyright is a tangible asset and I was told by a copyright attorney that it is dangerous to grant a partial copy right cause as soon as I do that he pretty much owns the thing. He can change a few things and re-register it.
What is the real scoop? Why is he balking at the licence (I can even make it exclusive) ?
Any help would be just great.
