My previous company is considering a law suit against me

I am in California? I started a Deleware based business and applied for a trademark for a software that "resembles" the software from my previous company. I wrote the new stuff from scratch. My software's basic foundation and architecture are completely different, but the end result is the same, PC security. Though I am curious about the infringement, I really want to know about the liability. Will I be sued, or will my company?

Potentially both. If your former employer sues you for misappropriation of trade secrets, then both you personally and the company (assuming the company is a limited-liability organization) would likely be on the hook. If they sued you for something else, like trademark infringement, then probably only the company (again, assuming a limited-liability organization) would be on the hook.

Of course, if you are a sole proprietorship, then you would remain personally liable regardless.
