How does an officer, Secretary resign from a C-Corp that there is only one other officer, President, and doesnt want the Pres to know. This entity is a Delaware Corp, working in Ohio. I have seen forms for some states that specify "Resignation as an agent" for a corporation and to be submitted to the Secretary of State.

You can only resign by submitting your resignation in writing to the Board of Directors, unless the By-Laws say something else. If the President is on the Board, that's your problem. The law does not permit hidden resignations as that is unfair to those left behind.

The resignation of a corporate agent is a totally different matter. The agent is used by the Secretary of State for billing and service of process and the big incorporation companies that handle most out of state companies got those provisions in the various states' laws to protect themeselves from liability when the corporations they represent fail to pay them their annual fees to serve as "registered agent".
