I own two corporations and I have been advised to merge them, raise operating capital, and manage them as one corporation. Corporation #1 has nearly 200 investors and was an IPO candidate in 2001; corporation #2 is new and has only a few investors.

Is a merger a prudent idea?

I would also appreciate an estimate on anticipated legal and accounting fees?

To merge or not . .

Merging is a long drawn-out process not taken lightly.

If there is any chance that the business of each entity may be sold or otherwise disposed of separately from the other, it would likely be more prudent not to do it. Breaking up a merged business, even if it is two distinct businesses, is difficult and expensive.

Why were you advised to raise operating capital through a merger?

I'm a California lawyer, but this is more commercial common sense.
