We are interested in forming a karate association/charter in the state of Virginia. It would consist of various schools and instructors under the style of Ruku Kempo Karate. We do not know what is the best organization or entity to use. Should we be an association or non-profit corporation or the like? What are the differences and what are the advantages/disadvantages, etc?

I am a law school graduate. What I offer is mere information, not to be construed as forming an attorney client relationship.

There can be a lot of issues involved: from tax to advertisement, etc.

Your best bet, contact a corporate/business law attorney in your state of Virginia and go from there.

Try attorneypages.com or call the Virginia State Bar Association and ask for lawyer referral.

Main difference is exposure to personal liability. With association, you may be exposed. Consult local counsel. Use some form of entity where no personal liablity - especially since it's a karate school. Easily, someone can get injured and bring suit.
