What is the name of your state? FL

A breach of contract situation where one party(Party #1) is clearly the party in the wrong but is holding deposit money and personal property from party #2. Party #2 simply wants their money and property even though #1 breached the contract.

Party #1 offers to terminate the contract and repay all monies on the condition that #2 signs a gag order/non-disclosure agreeing not to discuss the issue in any way. There is no consideration given for this non-disclosure. #1 does not want information out there because it will show them in a bad light. #2's money and personal property is being held as leverage even though they have done nothing wrong.

Is a non-disclosure of this type binding if there is no consideration? (I don't believe giving back deposit money and personal property that is owned by #2 is valid consideration)

Which means that if we feel they are the ones breaching the contract, we probably should fight that or just accept the terms. Thanks.
