Start-up legality?

I have a friend who is toying with the idea of the following start-up business, involving the resale of non-perishable items. Bargain-hunting is becoming a pretty big deal with the net, and many are very good at it. He believes that if these people bought big quantities of heavily-discounted goods from big chains, they could sell it to him, for a small amount of profit.

Next, he would flip it (the good), and earn some money by selling it to a smaller business.

In terms of the small retailer he resells this good to, the idea is that they would pay less than what they would normally pay a wholesaler.

What legal problems would this entail, if any? This is assuming the items are non-perishable, etc.
