I live in Ohio, my brother and I have a parteership that we decided to LLC. We listed him as sole owner for financial reasons. Can we comprise a contract thru a lawyer to show we are in deed 50/50 to help cover me in case comething happens to business or does the LLC stand in court? If we have to change from LLC to LLP we will but we wanted to keep overall costs down by doing this.

The real thing I'd worry about is if brother does something wrong. If he is sued and loses, the person with the judgement can get control of all his assets (if appropriate). Listing him as owner "for financial reasons" was a bad choice.

By the way, what possible reasons can you be talking about?
