My friend and business partner recently opened a DE corporation and issued 1500 shares. We are looking to transfer a 50% ownership in the company to me and we just can't find any information on this online. Is is enough for us to sign a stock purchase agreement and get one of those corporate kits with stock certificates and he "issues" 750 shares to me? Is the corporate kit and stock certificate even necessary?

Thanks for the help!
