We are a small Retail Store in WV. Can we be sued by a Corporation from Washington State? We are an S Corporation. This involves merchandise that we bought from them for resale. They did not deliver the amount or quality of merch. they were supposed to , or honor other arrangements we made to represent their merch. line. We did not pay them for much of this merch. We offered to send or bring this merch. back, but they refused. They are suing us for $100.00. The original amount was to be about $35,000.00.
Please advise.

The answer is, it depends on whether there are sufficient contacts between your corporation and Washington State and perhaps the transaction at issue for Washington state for it to be an appropriate jurisdiction for suit. Did you ever visit the state on a buying trip? Or did the company's salespeople come to WV to see you? Did you sign a written contract to buy goods, and what does it say about suit (or arbitration)?

Do you have a defense? Counterclaim? Can you possibly remove it from state to Federal Court? Get a lawyer in WV to help and then you'll probably want one in Wash state to handle it. But hurry. Time limits to answer or remove are short.
