Is it typical for a company preparing a private placement offering memorandum to ask for an upfront retainer of $5000 and a 10% commission on money raised for a 1 to 5 million dollar offering?

What questions need to be asked of this company? What expectations should I have? And finally what items need to be included in the memorandum? Thanks!

Make sure they have delivered before -- check references carefully. Check litigation too.

The $5,000 is not high, and it's actually low. 10% seems high for $5 million.
