I have a small business in Maryland. My partner and I are in the process of dissolving the partnership,(her initial decision), and I am going to take over the business. We drew up a contract detailing the dividing of the assets and liabilities, signed it, and had in notarized. I have already fulfilled a large part of my financial obligations, but she is now unhappy and wants to back out. She tells me the contract is not valid, and she is not bound to it. Can she back out, or do I have a legal right to make her abide by it.
