We knew a contractor for 3 years. He was working with a brokering company that we mutually knew as an independant contractor.
We decided to utilize his services for a 1 week assignment and would put the business through the broker because they give us a lot of business. We thought we could let them make a little bit of money.
The 1 week assignment was cancelled by us and it was done so before there cancellation/penalty clause hit.
The contractor came to us 4 months later and say that he was nor receiving enough work from the broker and was looking for a full time job. We offered him a job and he accepted.
No the broker says because we engaged him through their agancy (evn thought the contract was cancelled) we owe them 20% of this annual salary as a placement fee.
My questions as since we knew him without them do we have to pay a placement fee? Also, since the contract was cancelled would this contract have been void therefore this whole issue would be void?

To answer the question, a lawyer would have to see the entire contract because your rights and liabilities depend on the wording of the contract. Depending on that, this could go either way, even though you cancelled before their penalty clause applied.
