located in Pa-what is procedure to file suit against directors of non-profit corporation for 'improper use of authority'--this is grounds specified in our by-laws--majority of directors removed president without charges under "do not have to specify" penna. statutes--what would "burden of proof" be to force any director to 'step down or be removed'?--a majority of directors held meeting without notice to anyone, used assets(security) of corporation to deliver demand for resignation, held 'special meeting' without full time notice, voted to replace president--to be frank, this is a "volunteer" position(director) and i cannot afford a large outlay for attorney--thanks:confused:
