I personally own two properties. One in Georgia and
the other out of state. I am in GA winters and at the
other out of state property late spring, summer and
early fall.
I am preparing to form an out of state corporation in
order to insulate my personal assets from liability
resulting from internet ecommerce sales promotions
for product delivery solely without the state of
Georgia.
I would prefer to give my out of state corporation
the mailing address of my Georgia personal residence.
Is my understanding of OCSA 14-2-1501 correct in that
this mailing address would not create a requirement to
file as a foreign corporation transacting business in
Georgia?
I would also like my corporation to set up its bank
account in Georgia and register a truck for deliveries
in the name of the corporation to be garaged at my
personal residence in Georgia which would require it
to be registered in Georgia.
Would any of the above trigger a filing requirement
for a foreign corporation transacting business in the
state of GA?
