We are considering the pros and cons of forming a non-profit foundation, most likely based in California. In general, as I understand things, members of non-profit boards serve as unpaid volunteers. However, we will need at least two paid employees, and will probably need more if we are able to raise enough funds. The paid employees will be myself and another person involved in getting the foundation set up, and somehow we have to pay our own personal bills if the foundation is going to grow.

Can a board member also be a paid employee? If so, what are the restrictions?
