What is the name of your state (only U.S. law)? Virginia

My nephew & I started an S Corp and received our SCC documents on 12/30/08. We received our IRS EIN in January 09. We are starting an online business but as yet have not even launched much less made a single dime because we're still in development. There are 100 shares of common stock associated with the company at a value of .10 a share. Do I still need to file all the forms associated with an S-Corp or is there an easier answer, given that we've made nothing, sold nothing, and have $40 in a business checking account?
