| Corporate vs Personal Liability What is the name of your state (only U.S. law)? GA
I have posted on another thread explaining an issue my company is having. I have a couple of questions regarding corporate vs personal liability. I am an honest small businessman, but have a hostile personality on the other end of a client relationship which is threatening to sue for any & everything (apparently he has initiated many other law suits, and has some pending).
My company is a small company, an S-Corporation and I am the only officer of the company (office, owner, founder....).
If an issue arises where there is a claim of a financial liability from a customer (say a customer claims the Company owes them $100 for xyz), what is the protection of being a S-Corp in GA?
- Would the customer first have to sue the Company before attempting to sue me personally?
- Can the customer sue me personally since I am an S-Corp (even though they are wrong and there is no negligence on my part which resulted in them saying $ are owed)?
- If I just close the doors to the Company, will the perceived liability or the ability to collect on it go away?
