Nevada - what recourse do I have as a director and shareholder of a company, if the other directors don't follow our shareholders/directors agreement or the company constitution?
In our shareholders and directors agreement, it states that an annual plan needs to be developed... and the direction of the company, needs to be informed by the directors... what happens if none of this is followed.
There are 3 directors to the company, and decisions and contracts are being signed by 1 director without the knowledge of the others. What recourse do we have?
