| | | Dissolving an S-Corp What is the name of your state (only U.S. law)? California
I had an attorney form an S-Corp about 4 years ago. Business closed about 2 years ago. I have just been paying the mandatory $800 fee to the IRS during this time. I have no debt, employees, etc. I just want to stop paying $800 to the IRS for nothing. Does someone have any helpful advice? I am trying to avoid paying an attorney to dissolve.
Thank you. |

Thank you. | What mandatory $800 IRS fee are you talking about? An s-corp almost never has a federal income tax and certainly one with your history doesn't. |

| | | California has a franchise tax of 1.5% of your net income (a minimum of $800) for S-corp. My mistake though, I meant to state that I pay the state franchise tax board $800 to have my S-corp, not the IRS. I apologize for the mistake. |

| | | I believe the CA Secretary of State's website has all the forms and instructions you need in order to dissolve a corporation. |
