I downloaded the Articles of Organization
form to fill out and send in. Could I get
some help filling it out? In researching
different entities, and by asking people
in like businesses, I've concluded that I
wish to be a C-corp.

Here's some info about me:

My business will be buying & reselling
real estate. Single and multi-families.
No rehab work, just doing a simultaneous
close with my seller and my buyer.

I will also be placing property under
contract and simply assinging my interest to
another party.

I will be the sole owner of the company.

I'm not interested in stocks.

Articles to be filled out in my state:

1. name (no help needed :) )

2. purpose of corp is to engage in the
following business activities:

3. Total # of shares (w/ & w/out par value,
common & preferred)

4. If more than one stock is authorized,
state a distinguishing .....

5. The restrictions, if any, imposed by the
articles of organization upon the transfer
of shares of stock of any class are:

6. Other lawful provisions, if any, for the
conduct and regulation of the business and
affairs of the corportation, for its
voluntary dissolution, or for limiting, or
regulating the powers of the corporation,
or of its directors or stockholders, or of
any class of stockholders:

7. The effective date....(later is not
desired)

8. a. address (self explanitory)

b. President..treasurer etc: do I put my
name & address under each?

c. Fiscal year of the corp shall end on
the last day of the month of:

d. Name and business address of the
resident agent, if any, of the corporation
is: (I don't need one, do I?)

9. By-laws of the corporation have been
duly adopted and the president, treasurer,
clerk and directors whose names are set
forth above, have been duly elected.

signatures..... (do I just sign once?)

A couple of other questions:

1. How do I draw money from the corp. to
pay myself? I have a 4 year old with special
needs. We collect SSI and receive state
medical, which we need to continue until we
can afford to pay for insurance ourselves.
(Meaning the corporation to pay for ins..)
Our son needs a kidney transplant within
one year and we simply cannont lose this
coverage. So the money that I take as a
salary has to be low enough until the corp.
can afford otherwise.

2. When I do have the corp. pay for health
insurance, can it pay the full coverage,
meaning I personally do not pay anything?
How would I go about having the corp. pick
up the co-pay and such? Company check? Am I
correct in saying that even the co-pay,
paid by the corp., is 100% tax deductible?
I know I read this somewhere, but a having
it confirmed would be nice.

3. Am I missing other important issues?
I know about getting an EIN. This is done
after incorporating, correct?

Last thing, thank you so much, whoever
replies to this. Money is tight, and the
more I can save, the better. My goal is
to get off this stupid SSI!
