What is the name of your state (only U.S. law)?

Hi there!

I am a Spanish citizen and I finished my business plan. I want to start my business in the US and search for investors in the US too, but I have a few questions first that I will be very grateful if you help me with.

My business will consist on marketing a beverage product produced by an outsourced US firm (in other/s state/s) and sold nationwide by US retailers. The head office will be in Florida (due to the business-friendly environment, and relative cost of living), so my company contracts a manufacturer and obtains agreements to sell the product with the retailers, basically the marketing part.

1- Can I incorporate the company from Spain before having financing and starting the operations in the future (ie. having the company on stand-by until obtaining funds)? And where to incorporate? Delaware?

2- Which procedure to find investors being foreigner and type of Visa is required (going on holidays to make contacts)? If financing obtained, can I apply for another Visa to stay and work on my company i the US?
