Incorporation state different than state where employees are - is that ok?

What is the name of your state? South Carolina

My husband has a small trucking company, and we live in SC on the SC / NC border. We have 3 employees and do our payroll in SC. We are looking to incorporate, and for some reason, the person he went to incorporated him in NC.

The question is - will we have payroll problems if we are incorporated in NC and our payroll taxes go through SC?

I didn't feel it was that big of a deal as many companies have offices in numerous states, but we want to make sure we are doing everything by the book and we have not been able to get a straight aswer form anyone.

Any help would be appreciated. Thank you.

You can incorporate in any state you want. As long as you have a registered agent in the state (usually an attorney to receive and forward mail).

HOWEVER, be careful. In any state where the corporation has employees and conducts business, depending on the individual state statutes, you must also register as a 'foreign corporation'.

If you don't then you're facing more than tax implications.
