leaving LLC


What is the name of your state (only U.S. law)? La.
I am 50% owner of a hobby type store that is closed now. We have been closed for business for at least 3 months. My partner and I have paid the debts we are each responsible for and all that is left is to dissolve the business. She is in no hurry to do so but then again we are not on good terms. We have not posted anything to the public about our intentions, only to our vendors and creditors which like I said, all is paid off. Can I leave the LLC (we are each member/manager) and be done with this? Or do I have to stick it out until she is good and ready? If I don't, I would be responsible (as she) if she incurred any debt on the compay name correct? She is refusing to pay for an attorney if I hire one on behalf of the company because she states this can wait until after the holidays. I just don't know what to do.

leave LLC


Your operating agreement (if you have one) should have a withdrawal clause. Either way it cannot hurt for you need to notify her of your intentions, post it publicly and then try and get a response from her.

Do you know if I do withdraw from the LLC legally, would I still have any ties to her at all?
