Hello. A friend and I are seriously considering building a travel related internet business based on an original idea we had. We have not formally formed a business yet, but before we do that, we want to share our idea with some 3rd party engineers to understand the technical feasibility and cost to have our idea implemented without the risk of someone else stealing our idea. My question is:

Can we have a NDA (non-disclosure agreement) with the 3rd party engineers even before we establish our company? Would that NDA still be valid? Or do we need to have our LLC in place first before we can put together a NDA?
