New Company: Unpaid Shares

What is the name of your state (only U.S. law)? New York

I am partial owner of a DE corporation, based in NY. My partner and I agreed on a division of the shares up front, but we never actually paid the corporation for the shares. The company has been in business for a couple of years now. What are the possible problems with this?
