What is the name of your state? North Carolina. My partner and I incorporated in NC recently and are working on by-laws. Capitalization will be split 50/50 and will split stock 50/50. How do we actually issue stock? Is there somewhere that we can download a standard set of by-laws that we can edit? Preferably for an s corp with two equal owners that want the pres. and vp to share equal powers?

Check with the NC secretary of state's office -- they may have generic bylaws and articles of incorporation that you can use.

You can also find generic bylaws by putting the search term "form bylaws" in a search engine, but BEWARE of generic bylaws that are not drafted for your own state. There are often a number of provisions that vary from state to state, such as the notice period required for calling a shareholders meeting or the procedure for acting by consent without a meeting. If your bylaws are wrong, and you follow your bylaws rather than adhere to your state's corporation statute, your corporate action may be invalid.
