I run a software development LLC in Shreveport, LA

We proposed a software application to a credit repair company w/ all software features before ever viewing their bussiness model. We wanted a contract before starting... they assured us it would be shortly (this was oct 15).
On Dec 15 we installed the BETA software - with no payment as of yet (4 payments total with final payment to be on April 1st of next year) We were really pressing for a contract.

They would pay XXX dollars and give us a 2% royalty on all monthly business. The contract terms were still being worked on with their attorney. They wanted FULL ownership of all software and code.

Jan 9th received first payment - their personel changed. Our 2% profit would not be as great due to this change in employees.

Feb 18th... still no contract.. but have received 2nd payment. We still want to sell the software... to them at same $$$ terms but without the exclusive rights. No contract had ever been signed and the contract revisions were still being hammerd out. The project cost was over 10K if this information helps.

My question.... do they have a case in court against us for rights to this software? If so.... Why? Giving up source code as part of the business is almost un-heard of. Our verbal agreement has changed due to their employee/management changes.
