What can be done with a Board of Directors for a California 501 (c) (5), that refuses to follow the bylaws?
This BOD recently voted to invalidate an election of officers for the following:
"The BOD voted to invalidate the election and the actions that have, and will be taken, follow. following the mailing of the election ballots to the membership, two communications were received by the membership.
There was a mailing to the membership (but only to one board member) that recommended only four of the candidates for election . Whenever the membership receives a letter from any board member they correctly assume that the letter is sent with the approval of the entire board. This letter was neither discussed nor approved by the board. This was totally unfair to the other three candidates. "
The ballots will not be opened and the ballots will be destroyed."
What does one do in this situation?
Actions like this are destroying the corporation.
